These Terms of Service ("Terms") constitute a legally binding agreement between you and Mezano Construction Management LLC ("Company") governing your use of the Mezano Construction Management Platform ("Platform"), accessible at mezanocm.com. These Terms apply to all users including general contractors, subcontractors, employees, and anyone accessing the Platform on behalf of a business entity.
Acceptance of Terms
By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and any policies referenced herein, including our Privacy Policy and GDPR Notice. If you are using the Platform on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.
Description of Service
The Platform is a multi-tenant cloud-based construction management SaaS application providing:
- Project management and tracking
- Contract creation, management, and electronic signatures
- Payroll-ready timesheets with overtime calculation and export
- Employee time clock with GPS verification
- Invoice generation and payment tracking
- Mechanics lien management tools
- AI-powered assistant and document processing
- Multi-user access with role-based permissions
Account Registration & Eligibility
To use the Platform you must be at least 18 years of age, be authorized to enter into binding contracts on behalf of your business, provide accurate and complete registration information, and maintain the security of your account credentials.
You are responsible for all activity that occurs under your account. Notify us immediately at info@mezanocm.com if you suspect unauthorized access.
Subscription Plans & Billing
Plans & Payment
The Platform is offered on a subscription basis (Basic, Professional, Enterprise). Subscriptions are billed in advance on a monthly or annual cycle via Stripe in US Dollars.
Refund Policy
Subscription fees are non-refundable except as required by law. First-time subscribers may request a full refund within 7 days of their first charge. No prorated refunds are provided for partial billing periods.
Price Changes
We reserve the right to change subscription pricing with at least 30 days' prior written notice.
Multi-Tenant Data Isolation
The Platform operates on a multi-tenant architecture. Each Company Account's data is logically isolated using unique Company identifiers. We implement technical controls to prevent unauthorized cross-tenant data access. You are responsible for the accuracy and legality of data you enter.
Mobile Application & Location Tracking
The Mezano field application allows workers to clock in and out from a job site. When a worker clocks in, the application records their GPS location to confirm site presence and captures a photograph to verify the punch. While a worker remains clocked in, the application monitors location to determine whether they have left the site so the timesheet can be closed accurately. Location is recorded only between clock-in and clock-out, and is not collected outside an active shift.
Customer Responsibilities
You are responsible for complying with the employment, privacy and notice laws that apply to your workers, including any obligation to inform them or obtain their consent before recording location or capturing images. These requirements vary by state. The Company provides the tool; lawful use of it is your responsibility.
Automatic Clock-Out
Where enabled, the application may automatically clock a worker out after they have left the job site for a configured period. The recorded clock-out time is the time the worker left the site. You remain responsible for reviewing timesheets for accuracy before relying on them for payroll.
Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any regulations
- Upload false, misleading, or fraudulent licensing or business information
- Attempt to gain unauthorized access to other tenant accounts or data
- Reverse engineer, decompile, or disassemble any part of the Platform
- Use automated tools to scrape, harvest, or extract data from the Platform
- Upload malware, viruses, or any malicious code
- Resell, sublicense, or redistribute the Platform without written authorization
Intellectual Property
The Platform, including all software, design, trademarks, and content, is owned by Mezano Construction Management LLC and protected by intellectual property laws. You retain ownership of all data and content you submit to the Platform. You grant the Company a limited, non-exclusive license to use your content solely to provide the services herein.
Electronic Signatures
Electronic signatures on the Platform are legally binding under the Electronic Signatures in Global and National Commerce Act (E-SIGN) and the Uniform Electronic Transactions Act (UETA). By signing electronically, you confirm you have authority to sign on behalf of any entity you represent.

Limitation of Liability
Indemnification
You agree to indemnify and hold harmless Mezano Construction Management LLC and its officers, directors, employees, and agents from claims, liabilities, damages, and expenses (including attorneys' fees) arising from your use of the Platform, your content, your violation of these Terms, or your violation of applicable laws.
Term & Termination
Either party may terminate for convenience with 30 days' written notice. The Company may suspend or terminate your account immediately for material breach, non-payment, or conduct that threatens the Platform. Upon termination, you may request an export of your data within 30 days.
Governing Law
These Terms are governed by the laws of the State of Arizona. Any disputes shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona.
